Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grants USA, operated by Astra Agency ("Company," "we," "our," or "us"), governing your access to and use of the Grants USA platform and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you affirm that you are at least 18 years of age, have the legal capacity to enter into binding contracts, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Grants USA provides an AI-powered software platform for grant discovery, eligibility analysis, proposal writing, application management, and related tools. The Service is designed to assist nonprofit organizations, government entities, and other eligible organizations in identifying and applying for grant funding. The Service does not guarantee any grant award or funding outcome.

3. Accounts and Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@grantsusa.io if you suspect unauthorized account access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

Access to certain features requires a paid subscription. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected). All fees are in U.S. dollars and are non-refundable except as required by law or expressly stated in our refund policy.

• Subscriptions auto-renew unless cancelled at least 24 hours before the next billing cycle.
• You may cancel your subscription at any time through your account settings.
• Downgrading or cancelling a subscription does not entitle you to a prorated refund for the remaining subscription period.
• We reserve the right to modify pricing with 30 days' advance notice.
• Discount codes are subject to their individual terms and may have restrictions on billing cycles or applicable plans.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, state, federal, or international law or regulation
• Submit false, misleading, or fraudulent information in grant applications
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to any portion of the Service
• Transmit viruses, malware, or any other harmful code
• Scrape, copy, or extract data from the Service without written consent
• Use the Service for any commercial resale without written authorization
• Harass, abuse, or harm any other user or third party

6. Intellectual Property

The Service, including its software, design, text, graphics, and AI models, is owned by Grants USA / Astra Agency and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from the Service without express written permission.

User Content: You retain ownership of the content you create using the Service (e.g., grant proposals). By using the Service, you grant us a limited, non-exclusive license to process and store your content solely to provide the Service to you. We do not use your proprietary grant content to train AI models without your explicit consent.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate grant proposals, eligibility analyses, and other written content. You acknowledge and agree that:

• AI-generated content is provided as a drafting tool and may contain errors, inaccuracies, or omissions.
• You are solely responsible for reviewing, editing, and verifying all AI-generated content before submission to any funder.
• Grants USA makes no representation or warranty that AI-generated content will result in grant awards.
• Submission of inaccurate or false information to funders is your responsibility and may have legal consequences.
• This disclosure is made in compliance with FTC guidance on AI tools in commerce (FTC Act Section 5).

8. Affiliate Program

Participation in the Grants USA Affiliate Program is subject to separate Affiliate Program Terms. Commissions are earned only on qualifying referrals that result in paid subscriptions. We reserve the right to modify, suspend, or terminate the Affiliate Program at any time with notice.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Grants USA does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee that any grant opportunity listed is accurate, current, or that your organization will qualify for any grant.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Grants USA, Astra Agency, and their officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the greater of (a) $100 or (b) the amount you paid to us in the 12 months preceding the claim.

11. Dispute Resolution & Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution: Before initiating arbitration, you agree to first contact us at legal@grantsusa.io and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class Action Waiver: You and Grants USA agree that any arbitration will be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may bring an individual claim in small claims court. Either party may seek injunctive relief in court to prevent intellectual property infringement or unauthorized use of the Service.

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and dispute resolution) shall survive.
